These Terms & Conditions (“Terms”) govern your access to and use of the products and services provided by Haxo Labs Ltd (trading as boafuo) (“we”, “us”, or “our”). Haxo Labs Ltd is a company registered in England and Wales (Company No. 15492336) with its registered office at 4th Floor, Radius House, 51 Clarendon Road, Watford, Hertfordshire WD17 1HP, United Kingdom.

By accessing or using boafuo, including our WhatsApp-based assistant, website (www.boafuo.com), or any related features, you agree to these Terms. If you do not agree, do not use our Services.

1. ABOUT BOAFUO
boafuo is an AI-powered WhatsApp-native assistant that helps tailors and fashion designers manage orders, measurements, client communication, reminders, and payments. It is operated and maintained by Haxo Labs Ltd in the United Kingdom.

“Services” means all software, content, features, dashboards, APIs, and digital materials provided under the boafuo brand.

If there is a conflict between these Terms and another policy, the following order applies: (1) DPA, (2) Terms & Conditions, (3) Privacy Policy, (4) Cookies Policy.

3. WHO CAN USE BOAFUO
You must be at least 18 years old and capable of entering into a binding legal agreement. If you use boafuo on behalf of a business, you represent that you have authority to bind that business and agree that these Terms apply to it.

4. CREATING AND USING AN ACCOUNT
When you start using boafuo via WhatsApp, we automatically create an account linked to your phone number. You are responsible for ensuring that all information you provide is accurate and up to date. You must not share your account or use another person’s account without permission.

You are responsible for all actions that occur under your account. We are not responsible for any loss resulting from unauthorised access caused by your failure to maintain the security of your device or account.

5. ACCEPTABLE USE
You agree not to:

• Use boafuo for any unlawful, fraudulent, or harmful purpose.
• Upload or share content that is illegal, abusive, defamatory, or infringes others’ rights.
• Attempt to gain unauthorised access to our systems or data.
• Reverse engineer, copy, resell, or distribute any part of the Services.
• Interfere with, disrupt, or overload our systems.
• Use bots, scrapers, or automated tools to access the Services.
• Misrepresent your identity or affiliation.

We may suspend or terminate your access immediately if we believe you have violated these Terms or applicable law.

6. USER CONTENT
You retain ownership of all content you submit through boafuo, including order information, measurements, images, and communications (“User Content”).

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display User Content as necessary to provide and improve the Services. This licence ends when you delete your account or data, except where retention is required by law or for legitimate business purposes such as fraud prevention or backup.

You confirm that you have all rights and permissions to provide User Content and that it does not infringe any third-party rights or laws.

7. AI FEATURES AND LIMITATIONS
boafuo uses artificial intelligence to automate tasks, summarise messages, and provide suggestions. AI outputs may occasionally be incomplete or inaccurate. You are responsible for reviewing and verifying AI-generated messages or data before acting on them. We are not responsible for any consequences arising from your reliance on AI outputs.

8. INTELLECTUAL PROPERTY
All intellectual property in and to boafuo, including software, code, AI models, text, designs, logos, and trademarks, is owned or licensed by Haxo Labs Ltd. You are granted a limited, non-exclusive, revocable licence to use boafuo for your legitimate business use.

You must not copy, modify, distribute, resell, or reverse-engineer any part of the Services. You may not use the name, logo, or branding of boafuo or Haxo Labs without written consent.

9. FEEDBACK AND SUGGESTIONS
If you share ideas or feedback with us, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate your suggestions into our Services without obligation to you.

10. DATA PROTECTION
We collect and process personal data in accordance with our Privacy Policy.

• Haxo Labs Ltd is the data controller for information collected directly from you.
• When you use boafuo to manage your own customers’ data, you act as the data controller, and we act as a data processor under the DPA.

We use vetted subprocessors such as WhatsApp (Meta Platforms), OpenAI, and AWS for secure hosting and AI processing. Full details are available in our Subprocessor List.

11. PAYMENTS AND FEES

Some parts of the Services may be free, while others may require payment or subscription. All fees are stated in the relevant pricing or order form. Fees are non-refundable except where required by law. We may change prices prospectively with reasonable notice.

12. SERVICE CHANGES AND UPDATES
We may update, enhance, or discontinue features at any time. We will make reasonable efforts to notify users of major changes, but we are not obliged to maintain backward compatibility or continuous availability.

13. TERMINATION
You may stop using the Services at any time and request account deletion by messaging “Delete my account” via WhatsApp or contacting privacy@boafuo.com.

We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to access boafuo ends. Data will be deleted or anonymised in accordance with our Privacy Policy.

14. DISCLAIMER OF WARRANTIES
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that AI outputs will always be accurate or suitable for your needs.

15. LIMITATION OF LIABILITY
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Subject to that, we are not liable for indirect, consequential, or special damages, including loss of profits, data, goodwill, or business interruption. Our total liability for any claim arising under these Terms shall not exceed the greater of (a) the total amount you paid us for the Services in the twelve months preceding the event, or (b) one hundred pounds sterling (£100).

If you are a consumer, these limitations apply only to the extent permitted by law and do not affect your statutory rights.

16. INDEMNITY
You agree to indemnify and hold harmless Haxo Labs Ltd, its officers, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms, unlawful use of the Services, or violation of third-party rights.

17. ELECTRONIC COMMUNICATIONS
By using boafuo or submitting forms, you consent to receive communications electronically via email, WhatsApp, or in-product notifications. You agree that such communications satisfy any legal requirement that they be in writing.

18. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be resolved in the courts of England and Wales, which shall have exclusive jurisdiction.

19. FORCE MAJEURE
We are not responsible for failure or delay caused by events beyond our reasonable control, including natural disasters, power failures, internet outages, war, or acts of government.

20. CHANGES TO THESE TERMS
We may update these Terms from time to time. The latest version will always be available at www.boafuo.com/legal/terms. Continued use of the Services after an update means you accept the revised Terms.
